Terms of Service
The terms and conditions governing the professional business and consulting services provided by Orris Way Pty Ltd (ABN 75 703 380 170).
1. Agreement to these Terms
These Terms of Service (“Terms”) govern your access to and use of the website at orrisway.online and any professional business and consulting services supplied by Orris Way Pty Ltd (ABN 75 703 380 170) (“we”, “us”, “our”). By engaging our services, submitting an enquiry or using this website, you agree to be bound by these Terms. If you do not agree, please do not use the website or engage our services.
2. Our Services
We provide professional business and consulting services to clients across Australia, with our principal place of business in Melbourne VIC. The specific scope, deliverables, timelines and fees for any engagement will be set out in a written proposal, engagement letter or statement of work agreed between you and us. In the event of any inconsistency between these Terms and a signed engagement document, the engagement document will prevail to the extent of the inconsistency.
3. Quotes and Fees
Quotes provided by us are valid for 30 days unless otherwise stated in writing. All fees are quoted in Australian dollars (AUD) and are exclusive of GST unless expressly stated otherwise. Fees are payable in accordance with the payment terms set out in your engagement document. Late payments may attract interest or recovery costs as set out in that document or, where silent, as permitted by law.
4. Client Responsibilities
To enable us to deliver our services effectively, you agree to:
- provide accurate, complete and timely information and access reasonably required by us;
- promptly review and respond to our deliverables and requests;
- ensure you have the right to share any materials or data you provide to us; and
- comply with all laws applicable to your business and your use of our services.
5. Intellectual Property
All intellectual property in materials, frameworks, methodologies and tools we bring to an engagement remains our property or the property of our licensors. Upon full payment, you receive a non-exclusive, non-transferable licence to use the final deliverables prepared specifically for you for your internal business purposes. You retain all rights in the information and materials you supply to us.
6. Confidentiality
Each party will keep confidential all non-public information received from the other party in connection with an engagement and will not disclose it except as required to perform the services, with consent, or as required by law. This obligation survives the completion of an engagement.
7. Privacy
We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). Our Privacy Policy forms part of these Terms.
8. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any rights you may have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), or any other statutory rights that cannot lawfully be excluded. Where our services are supplied to a consumer and fail to meet a consumer guarantee under the Australian Consumer Law, you may be entitled to remedies including resupply of the services or, in some circumstances, a refund.
To the maximum extent permitted by law, and subject to the preceding paragraph, we exclude all other warranties, conditions and representations not expressly stated in these Terms or your engagement document.
9. Limitation of Liability
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with an engagement is limited to the fees actually paid by you for the services giving rise to the liability. We are not liable for indirect, incidental, special or consequential loss, including loss of profits, revenue, data or business opportunity, except where such limitation is prohibited by the Australian Consumer Law or other applicable law.
10. Third-Party Links and Content
This website may contain links to third-party websites or resources. These links are provided for convenience only and do not constitute endorsement. We make no representations about third-party content and accept no responsibility for it.
11. Website Use
You agree not to use this website in any way that breaches any law, infringes any person’s rights, interferes with the website’s operation, or introduces malicious code. We may suspend or discontinue the website, or any part of it, at any time without notice.
12. Suspension and Termination
Either party may terminate an engagement in accordance with the terms of the applicable engagement document. We may suspend or terminate services immediately if you fail to pay fees when due, breach these Terms materially, or if continuing the engagement would place us in breach of law or professional obligations.
13. General Provisions
These Terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce a right is not a waiver of that right. You may not assign your rights under these Terms without our prior written consent.
14. Changes to these Terms
We may update these Terms from time to time by publishing a revised version on this page. The revised version applies to website use and new engagements from the date of publication. Continued use of the website after publication constitutes acceptance of the updated Terms.
